These Terms and Conditions (the “Terms”) govern your access to and use of the website located at www.toolshedsales.ca (the “Site”), which is owned and operated by Tool Shed Sales and Rental Inc. (“Tool Shed”, “we”, “us”, or “our”).

“Equipment” means any tool, machine, or item of equipment sold or rented by Tool Shed.
“Parties” means Tool Shed and Customer, and together they are the “Parties”.
“Rental Agreement” means the separate written contract entered into between Tool Shed and a Customer at the time of equipment rental, which governs the terms of that rental.
“Services” means all products, equipment sales, equipment rentals, parts supply, and maintenance services provided by Tool Shed.
“Site” means the website at www.toolshedsales.ca, including all pages, subdomains, and digital content accessible through it.
You may use the Site only for lawful purposes and in accordance with these Terms. By using the Site, you represent and warrant that:
We reserve the right to refuse service, terminate accounts, or restrict access to the Site at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

All prices displayed on the Site are in Canadian dollars and are exclusive of applicable taxes unless otherwise stated. Applicable federal and provincial taxes, including HST, will be added at the time of purchase or rental.
We reserve the right to correct any pricing errors on the Site at any time. If a pricing error is identified after an order has been placed, we will contact you before proceeding and you will have the option to confirm your order at the correct price or cancel it.
Payment terms for account customers are governed by the terms of your credit account agreement with Tool Shed. For new customers, payment in full is required at the time of purchase or rental, unless a credit account has been approved in advance.
The Site may include forms through which you can submit rental enquiries, product enquiries, or business account applications. By submitting any such form, you confirm that the information you provide is accurate and complete.
Submission of an enquiry or account application through the Site does not constitute a binding agreement or a guarantee of approval. All applications are subject to review and approval by Tool Shed. We will respond to your enquiry or application as promptly as reasonably possible.
Business account applications are subject to credit assessment and approval. Tool Shed reserves the right to decline any application at its discretion.
Information provided on the Site about rental equipment is for general guidance only. The specific terms and conditions that govern each equipment rental, including rates, Rental Period, permitted use, maintenance obligations, liability, insurance, and return requirements, are set out in the Rental Agreement signed by the Customer at the time of rental.
In the event of any conflict between information on the Site and the terms of a Rental Agreement, the Rental Agreement shall prevail.
The Site may contain links to third-party websites for your convenience and reference, including links to supplier and manufacturer websites. These links do not constitute an endorsement of those websites or their content by Tool Shed. We have no control over the content, privacy practices, or availability of third-party websites and accept no responsibility for them.
You access any linked third-party websites at your own risk and are responsible for reviewing the applicable terms and privacy policies of those websites.
THE SITE AND ALL CONTENT, INFORMATION, AND MATERIALS ON IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any Content on the Site.
Nothing in these Terms shall exclude or limit any warranty or liability that cannot lawfully be excluded or limited under applicable Canadian law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOOL SHED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall our total liability to you for any claim arising out of or relating to your use of the Site exceed one hundred Canadian dollars ($100.00).
These limitations apply regardless of the legal theory under which such damages are sought, whether in contract, tort, strict liability, or otherwise. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Tool Shed Sales and Rental Inc. and its officers, directors, employees, contractors, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

These Terms shall be governed by and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to any conflict of law provisions.
Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of the Province of Nova Scotia. You irrevocably submit to the personal jurisdiction of those courts for that purpose.
We reserve the right to modify or replace these Terms at any time at our sole discretion. When we do, we will update the “Last updated” date at the top of this page. We encourage you to review these Terms periodically.
Your continued use of the Site following any update to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should discontinue use of the Site.
Entire Agreement. These Terms, together with our Privacy Policy and any applicable Rental Agreement or sales contract, constitute the entire agreement between you and Tool Shed with respect to your use of the Site and supersede all prior or contemporaneous understandings and agreements.
Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
Headings. Section headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
